Hycap LLC (SportSceneUSA.com) Website License Agreement IMPORTANT - READ CAREFULLY. This is a legal agreement ("Agreement") between you and Hycap LLC ("Hycap"), its successors and assigns, for the SportSceneUSA.com website (hereafter collectively referred to as the "Website"). BY PRESSING THE "I AGREE" BUTTON, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. Fee 2.1 There is a $199.00 registration/set up fee, plus a site maintenance fee of $50.00/month for the first 12 months, which is subject to increase after the first 12 twelve months to $129.00 per month thereafter. The fee is to be paid quarterly via valid credit card. Quarterly payments will be automatically debited each quarter unless the license is cancelled for reasons contained in this agreement. No refunds will be due for unused months under any circumstances. You demonstrate your understanding and agreement to this, and agree to hold Hycap harmless against any claims by accepting this agreement. 2.2 The initial term of this agreement shall be 12 months, and shall automatically renew for an additional 12 month period at the end of the initial term, and continue to renew at the end of each 12 month period for an additional 12 months thereafter. The licensee shall have the right to terminate this agreement at the end of each 12 month period, provided they give a minimum of 30 days notice of their intent to terminate the agreement. This notice must be sent by certified letter to the main office of Hycap, which is 1703 Webb Drive, Suite A, Norcross, GA, 30093, and must be received on or before the 30th day prior to the end of any 12 month term. 3. Restrictions You shall not have the right under this Agreement to (1) reverse engineer, decompile, disassemble, re-engineer or otherwise create or attempt to create or permit, allow or assist others to create the source code of the Website or its structural framework, without the expressed written consent of Hyap; or (2) to Use the Website in whole or in part for any purpose except as expressly provided under this Agreement. You shall be permitted access, via user name and password, to the portion of the website to which you have been given license to use (the cities to which which you have purchased a license to control), in order to create links and place banners ads, within the framework of the template which you have license to use. You shall NOT, place links or ads on the website template, which would, by the sole discretion of Hycap, be considered inappropriate for anyone viewing the portion of the Website which you have license to maintain. You further agree to remove any such content within 24 hours of notice given by Hycap. If you do not remove said content within 24 hours, your license agreement will be subject to cancellation, or Hycap may choose to remove the banner or link without your permission. You are required to, within 30 days from obtaining access to the Website, complete the site setup by adding an amount of appropriate links which would cause the webpage to be functional, and aesthetically pleasing. Failing to meet this requirement is a breach of this agreement and can result in cancellation of your license, at the sole discretion of Hycap. 2.3 Should the licensee fail to make any payment during the term of the agreement on the date due, they shall be given 10 days to pay the specific late monthly payment. If payment is made on or before the 10th day after the original due date, their shall be no penalty. If the licensee fails to make a monthly payment within 10 days from the original due date, licensee shall be liable for the remainder of the 12 month term, and agrees to allow Hycap to charge their credit card the full amount of the remainder of the 12 month term. Licensee also agrees that any attempt by them to charge back any payment on their credit card which is according the the terms described herein is not an attempt based on a violation of this agreement but simply an attempt to improperly escape this agreement. 4. Ownership You acknowledge and agree that all right, title, and interest in and to the Website and the Hycap names and logos, our product names, including all patents, copyrights, and trade secrets and other intellectual property rights granted herein are and will remain the property of Hycap, subject only to the licenses granted to you under this Agreement. This Agreement is not a sale and nothing contained herein will be deemed to grant you any right, title, or interest in or to the Website, the Hycap name or logo, our product names or any patent, copyright, trade secret, trade name, trademark or other proprietary or intellectual property rights related thereto. 5.
